This Waiver, Release of Liability, and Hold Harmless Agreement (“Agreement”) is entered into by and between the undersigned (“Participant”) and Agents of Change Performance Coaching LLC (“Studio”), located in Carmel, Indiana. 

 

1. Acknowledgment of Risks.  Participant acknowledges that the activities offered by Studio, including but not limited to strength training, cardiovascular exercises, flexibility exercises, and the use of equipment, carry inherent risks, which may include but are not limited to personal injury, property damage, or even death. Participant voluntarily assumes all risks associated with engaging in these activities, whether caused by the negligence of Studio or otherwise. 

 

2. Waiver and Release of Liability.  In consideration of being permitted to participate in activities at Studio, Participant hereby releases, waives, discharges, and holds harmless Studio, its owners, officers, employees, agents, contractors, and affiliates from any and all liability, claims, demands, actions, or causes of action, known or unknown, arising out of or related to any injury, loss, or damage that may occur as a result of Participant’s use of Studio’s facilities, equipment, services, or participation in Studio’s activities. This waiver and release extend to all claims for negligence, including gross negligence. 

 

3. Indemnification and Hold Harmless.  Participant agrees to indemnify, defend, and hold harmless Studio, its owners, officers, employees, agents, contractors, and affiliates from any and all claims, demands, liabilities, losses, damages, costs, or expenses, including attorney fees, arising out of or in connection with Participant’s actions or omissions while using Studio’s facilities, equipment, or participating in Studio’s activities. 

 

4. Medical Authorization and Responsibility.  Participant represents that they are in good health and have no medical conditions that would make their participation in activities offered by Studio unsafe. Participant agrees to be solely responsible for any and all medical expenses that may arise as a result of injuries sustained through participation. Participant grants Studio permission to obtain medical treatment in the event of an emergency. 

 

5. Assumption of Responsibility.  Participant acknowledges that it is their responsibility to use Studio’s facilities and equipment safely, follow all posted instructions, and adhere to any guidelines provided by Studio staff. Participant understands that they are responsible for their actions and agree to exercise reasonable care while engaging in Studio’s activities. 

 

6. Image and Likeness Release.  Participant grants Studio the irrevocable right to use Participant’s name, likeness, image, and/or voice in any photographs, video recordings, or other media taken in Studio’s facilities for promotional, marketing, and educational purposes without compensation. 

 

7. This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana.
